Beneficial ownership: the documents that must support the chain of control

A declaration does not end with naming an individual: the IGJ requires records that make ownership and control traceable.

Argentina’s Companies Registry (Inspección General de Justicia, or IGJ) requires beneficial owners to be identified in a range of filings involving companies, associative contracts and trusts. Where ownership runs through a chain of entities, supporting records must allow that chain to be established.

For a corporate transaction, the practical consequence is direct: an organizational chart is not enough unless it matches bylaws, share or quota registers, transfer records and the other supporting documents. The review is best started before the filing, not after an observation arrives.

For companies incorporated abroad, the obligation may also arise when financial statements are filed. For trusts and associative contracts, the analysis extends to the entities that make up the structure.
